der APRA Foundation Berlin

§ 1. Name, Rechtsform und Sitz

(1) Die Stiftung führt den Namen APRA Foundation Berlin.

(2) Die Stiftung ist eine rechtsfähige Stiftung des bürgerlichen Rechts.

(3) Der Sitz der Stiftung ist Berlin.

§ 2. Stiftungszweck

(1) Die Stiftung verfolgt ausschließlich und unmittelbar gemeinnützige Zwecke im Sinne des Abschnitts steuerbegünstigte Zwecke der Abgabenordnung.


(2) Zweck der Stiftung ist die Förderung von Wissenschaft, Forschung, Kunst und Kultur.

(3) Der Stiftungszweck wird verwirklicht insbesondere durch

(3.1) Tätigkeiten, die eine vollkommeneres und klareres Verständnis für das Œuvre der Künstlerin und Philosophin Adrian Piper fördern, so daß langfristig ein Beitrag für ein sorgfältiges, ausgewogenes und vollständiges Verständnis für die Entstehungsbedingungen des Œuvres von Adrian Piper in seiner Gesamtheit geleistet wird, dessen Einheitlichkeit und innerer Verbundenheit mit der intellektuellen, kulturellen, gesellschaftlichen und persönlichen Lebenswelt und Lebensgeschichte von Adrian Piper gezeigt und dokumentiert wird.

(3.2) die Vergabe von Stipendien in Form von Sach-und/oder Geldleistungen an StipendiatInnen, die Multidisziplinarität ausüben oder erforschen, das Nähere regeln die Vergaberichtlinien gemäß § 5 dieser Satzung;

(3.3) die Durchführung von Seminaren, Workshops, Trainingskursen und anderen Tagungen;

(3.4) die Erstellung und Unterhaltung eines Domizils für das Werkarchiv und die Bibliothek;

(3.5) die Verwaltung und Erforschung des Werkarchivs und des Familienarchivs der Künstlerin und Philosophin Adrian Piper;

(3.6) der Betrieb der Forschungsbibliothek und eines Filmarchivs;

(3.7) die Veröffentlichung von Texten oder elektronischen Medienwerken von, über, oder thematisch bezogen auf die künstlerische oder philosophische Arbeit von Adrian Piper;

(3.8) die Erstellung und Herausgabe eines Catalogue Raisonné über das Werk von Adrian Piper;

(3.9) ideelle und materielle Unterstützung von und Zusammenarbeit mit Kuratoren, Autoren und Institutionen, die an der Ausstellung oder Veröffentlichung der Arbeiten von Adrian Piper interessiert sind.

Die Stiftung ist frei, Art, Umfang und die Priorität der Verwirklichung der Zwecke nach den Buchstaben (3.1) bis (3.9) selbst zu bestimmen.

§ 3. Gemeinnützigkeit

(1) Die Stiftung ist selbstlos tätig. Sie verfolgt nicht in erster Linie eigenwirtschaftliche Zwecke.

(2) Die Mittel der Stiftung dürfen nur für die satzungsmäßigen Zwecke verwendet werden. Es darf keine Person durch Ausgaben, die dem Zweck der Stiftung fremd sind, oder durch unverhältnismäßig hohe Vergütungen begünstigt werden.

(3) Ein Rechtsanspruch auf Gewährung von Stiftungsleistungen besteht nicht.

§ 4. Stiftungsvermögen, Zuwendungen, Mittelverwendung

(1) Das Stiftungsvermögen besteht aus

(1.1) einem Anfangsvermögen,

(1.2.) dem Eigentum an dem Grundstück ins Grundbuch von Berlin Mitte eingetragen,

(1.3) dem Familienarchiv der Stifterin,

(1.4) der Bibliothek der Stifterin,

(1.5) sowie weiterem Bargeld und Kunstwerken.

(2) Im Interesse des langfristigen Bestehens der Stiftung ist das Stiftungsvermögen in seinem Bestand zu erhalten, Umschichtungen sind jedoch zulässig. Die Kunstwerke dürfen verwertet und wie Erträge des Stiftungsvermögens verwendet werden.

(3) Dem Stiftungsvermögen wachsen diejenigen Zuwendungen zu, die dazu bestimmt sind; die Stiftung darf derartige Zustiftungen annehmen. Sie darf auch Zuwendungen ohne Zweckbestimmung aufgrund einer Verfügung von Todes wegen und freie Rücklagen im Sinne von §62 Abs. 1 Nr. 3 AO dem Stiftungsvermögen zuführen. Die Annahme von zweckgebundenen Zuwendungen verpflichtet die Stiftung nicht zu deren Umsetzung.


(4) Das Stiftungsvermögen kann in einzelnen Geschäftsjahren bis zur Höhe von 10% des Vorjahresbestandes in Anspruch genommen werden, soweit die Entnahme des Betrages zur Erfüllung des Stiftungszwecks dringend erforderlich ist; seine Rückführung muß innerhalb der nächsten fünf Geschäftsjahre sichergestellt sein.

(5) Die Erträge des Stiftungsvermögens und die ihm nicht zuwachsenden Zuwendungen sind zur Erfüllung des Stiftungszwecks zu verwenden.

(6) Soweit die Stiftung ihre Erträge nicht dem Stiftungszweck zuleitet, kann eine entsprechende Rücklage gebildet werden, soweit hierdurch die Steuerbegünstigung der Stiftung nicht beeinträchtigt wird. Die Rücklage kann ganz oder teilweise in Stiftungsvermögen umgewandelt werden.

(7) Die Stiftung kann einen Teil, jedoch höchstens ein Drittel ihres Einkommens dazu verwenden, um in angemessener Weise die Stifterin zu unterhalten, die Kosten für ihre Einäscherung zu übernehmen, ihre Überreste zu pflegen und ihr Andenken zu ehren.

§ 5. Beantragung und Vergabe von multidisziplinären Stipendien

(1) Multidisziplinäre Stipendien werden nach Maßgabe der zur Verfügung stehenden Mittel verliehen. Ein Aufruf zur Bewerbung ergeht mindestens zehn Monate vor dem geplanten jährlichen Einsendeschluß auf der Website der Stiftung und durch E-Mail.

(2) Die Bewerbung für ein multidisziplinäres Stipendium erfolgt durch Antrag an den Vorstand unter Angabe des Kunst- oder Forschungsprojektes, einem aktuellen Lebenslauf und den schriftlichen Empfehlungen durch zwei anerkannte Experten in jedem der Felder, in denen der Bewerber Expertise besitzt.

(3) Multidisziplinäre Stipendien werden nach folgenden Bedingungen bewilligt:

(3.1) Im Stipendienantrag müssen Ziel und genauer zeitlicher Ablauf des Projektes angegeben werden.

(3.2) Der Stipendienantrag muß ferner eine realistische Einschätzung darüber beinhalten, welcher Anteil des Gesamtprojektes innerhalb des Stipendiatszeitraums (in Berlin wenn möglich) realisiert werden kann.

(3.3) Der Antrag muß eine Einschätzung der empfehlenden Experten zur Bedeutung des Projektes und zur Fähigkeit des Bewerbers, das Projekt umzusetzen, beinhalten.

(3.4) Das Stipendium muß grundsätzlich im Laufe des auf die Verleihung folgenden Jahres genutzt werden. Ausnahmen in schwerwiegenden Fällen müssen ausführlich begründet werden.

(3.5) Der Stipendiat muß im darauf folgenden Jahr auf der Website der Stiftung in Form einer Projektdokumentation seine Arbeit vorstellen. Diese Projektdokumentation kann, je nach künstlerischem Ansatz, in einem Artikel, einem Buchauszug oder einer Zusammenfassung eines Buches, einer Bilddokumentation oder einer sonstigen medialen Dokumentation (Video, Audio, Computer Animation) bestehen. Die Projektdokumentation wird dauerhafter Bestandteil des von der Stiftung unterhaltenen öffentlichen APRA Foundation Berlin Multi-Disciplinary Archive.

(3.6) Bei Nichteinhaltung der Bewilligungsbedingungen kann das Stipendium zurückgefordert werden.

§ 6. Stiftungsvorstand

(1) Die Stiftung wird von einem Vorstand verwaltet.

(2) Die Stifterin gehört dem Vorstand als Vorsitzende auf Lebenszeit an. Ihr steht als Sonderrecht der Vorsitz im Vorstand auf Lebenszeit zu. Die Stifterin kann den Vorstand zu Ihren Lebzeiten jederzeit auf drei oder fünf Mitglieder erweitern oder wieder auf drei oder ein Mitglied reduzieren, dazu kann sie nach freier Wahl Vorstandsmitglieder abberufen. Sie beruft ferner persönlichen ihren Nachfolger für den Vorstand. Sind zum Zeitpunkt des Ausscheidens der Stifterin aus dem Vorstand weder weitere Vorstandsmitglieder noch ein Nachfolger für die Stifterin bestimmt, so bestimmen die zu diesem Zeitpunkt amtierende DirektorIn, die ArchivarIn und die RegistratorIn der APRA Foundation Berlin den Vorstand der Stiftung gemeinsam.

(3) Der Vorstand besteht aus einer, drei oder fünf Personen. Die Mitglieder des Vorstandes entscheiden über die Anzahl der Vorstände in den Grenzen des vorherigen Satzes. Sie wählen ggf. weitere Vorstandsmitglieder hinzu. Der Vorstand kann ferner aus wichtigem Grund ein Vorstandsmitglied mit drei Fünfteln der Stimmen abberufen.

(4) Die Amtszeit des Vorstandes beträgt fünf Jahre. Wiederwahl ist zulässig. Abs. (2) Satz 1 bleibt davon unberührt. Nach Ablauf der Amtszeit und nach dem Ausscheiden der Stifterin aus dem Vorstand führen die Mitglieder des Vorstands ihr Amt bis zum Amtsantritt der Nachfolger weiter.


(5) Ausgeschiedene Vorstandsmitglieder sind unverzüglich vom Vorstand durch Zuwahl zu ersetzen. Bis zum Amtsantritt der Nachfolger führen die verbliebenen Vorstandsmitglieder die unaufschiebbaren Aufgaben der laufenden Stiftungsverwaltung allein weiter.

(6) Dem Stiftungsvorstand soll wenigstens eine Person angehören, die praktische Erfahrung in Yoga besitzt; eine die über berufliche Expertise im Bereich der Kunst verfügt; und eine, die die anglo-amerikanische analytische Philosophie an der Universität unterrichtet. Besteht der Vorstand nur aus einer Person soll diese alle drei Fähigkeiten in sich vereinen.

(7) Ist eine Besetzung des Vorstandes mit einer oder mehreren Personen, die über die in Absatz (6) bestimmten Eigenschaften verfügen, ausgeschlossen, so sollen an ihre Stelle eine oder mehrere Personen mit Bezug zum Fachgebiet der Stiftung, bildende Kunst, Philosophie oder Wissenschaft, gewählt werden.

(8) Der Vorstand wählt sich – nach Ausscheiden der Stifterin – aus seiner Mitte einen Vorsitzenden und dessen Stellvertreter, wobei Wiederwahl zulässig ist. Der Vorstand kann sich eine Geschäftsordnung geben.

(9) Die Mitglieder des Vorstandes sind ehrenamtlich tätig. Sie haben jedoch Anspruch auf Erstattung ihrer notwendigen Auslagen.

(10) Die Haftung der Organmitglieder gegenüber der Stiftung beschränkt sich auf Vorsatz und grobe Fahrlässigkeit.

§ 7. Aufgaben des Vorstandes

(1) Der Vorstand leitet und verwaltet die Stiftung und beschließt über ihre Angelegenheiten. Er hat die Mittel der Stiftung sparsam und wirtschaftlich zu verwenden. Er hat dabei den Willen der Stifterin so wirksam und nachhaltig wie möglich zu erfüllen.


(2) Der Vorstand kann mit der Durchführung bestimmter Geschäfte einzelne Vorstandsmitglieder beauftragen. Er kann eine geeignete, dem Vorstand nicht angehörende Person mit der Geschäftsführung und/oder Assistenz der Stiftung beauftragen oder anstellen und dieser für diese Tätigkeit ein angemessenes Entgelt zahlen.

(3) Wird ein(e) Geschäftsführer(in) von der Stiftung beauftragt oder angestellt , so führt er oder sie die laufenden Geschäfte nach den in der Geschäftsordnung festgelegten Richtlinien. Er oder sie ist dem Vorstand der Stiftung verantwortlich und an dessen Weisungen gebunden.

(4) Der Stiftungsvorstand stellt rechtzeitig vor Beginn eines Geschäftsjahres einen Wirtschaftsplan auf, der die zu erwartenden Einnahmen und Ausgaben enthält.

(5) Innerhalb von vier Monaten nach Abschluss des Geschäftsjahres erstellt der Vorstand eine Jahresabrechnung. Dazu sind die Einnahmen und Ausgaben der Stiftung aufzustellen, die entsprechenden Belege zu sammeln, sowie ein Bericht über ihr Vermögen und über die Erfüllung des Stiftungszwecks zu fertigen. Der Vorstand prüft und beschließt diese Unterlagen als Jahresbericht.

§ 8. Geschäftsjahr

(1) Das Geschäftsjahr entspricht dem Kalenderjahr.

§ 9. Vertretung der Stiftung

(1) Die Vorstandsmitglieder bilden den Vorstand der Stiftung im Sinn der §§ 86, 26 des Bürgerlichen Gesetzbuches.

(2) Die Stifterin hat, solange sie Vorsitzende des Vorstands ist, Einzelvertretungsbefugnis; sie ist von den Beschränkungen des § 181 des Bürgerlichen Gesetzbuches befreit.

(3) Soweit der Vorstand aus mehr als einer Person besteht, vertreten im Übrigen jeweils zwei Vorstandsmitglieder die Stiftung gemeinschaftlich, von welchen eines davon entweder der Vorsitzende oder der vertretende Vorsitzende ist, es sei denn durch einstimmigen Beschluß des Vorstandes ist ausdrücklich Einzelvertretungsbefugnis eingeräumt worden.

§ 10. Beschlußfassung des Vorstandes

(1) Soweit der Vorstand aus mehr als einer Person besteht, beschließt er bei Anwesenheit von mindestens drei seiner Mitglieder, von denen eines der/die Vorsitzende sein muß.

(2) Im Umlaufverfahren können Beschlüsse nur unter Beteiligung aller Mitglieder des Vorstandes gefaßt werden.

(3) Die Beschlüsse werden mit einfacher Mehrheit der anwesenden oder der sich an einer Abstimmung beteiligenden Mitglieder gefaßt, soweit die Satzung nichts anderes bestimmt. Bei Stimmengleichheit entscheidet die Stimme der/des Vorsitzenden. Enthaltungen werden bei der Zahl der abgegebenen Stimmen nicht mitgezählt.

(4) Der Vorstand hält seine Beschlüsse durch Niederschriften fest, die, sofern mehr als eine Person als Vorstand bestellt ist, von mindestens zwei Vorstandsmitgliedern zu unterzeichnen sind. Abwesende Vorstandsmitglieder werden von den Beschlüssen in Kenntnis gesetzt; ein nachträgliches Einspruchsrecht steht ihnen nicht zu.

§ 11. Vorstandssitzungen

(1) Der Vorstand tritt zusammen, so oft es die Erfüllung seiner Aufgaben erfordert, oder wenn eines seiner Mitglieder die Einberufung schriftlich unter Angabe der Gründe beantragt.

(2) Der/die Vorsitzende bestimmt den Ort und die Zeit der Sitzungen und lädt dazu ein.


(3) In jedem Geschäftsjahr finden mindestens zwei Vorstandssitzungen statt, in deren einer über die Vergabe der Stiftungsleistungen und deren anderer über den Jahresbericht beschlossen wird.

§ 12. Satzungsänderungen

(1) Satzungsänderungen sind zulässig, wenn der Vorstand dies im Interesse der Stiftung für erforderlich hält.

(2) Eine Satzungsänderung ist insbesondere zulässig, wenn

(2.1) der Stiftungszweck und die Gestaltung der Stiftung nicht oder nur unwesentlich verändert werden, oder

(2.2) hierdurch die nachhaltige Erfüllung des Stiftungszwecks gesichert bleibt, oder

(2.3) dies wegen einer wesentlichen Veränderung gegenüber den im Zeitpunkt der Entstehung der Stiftung bestehenden Verhältnissen angebracht ist.

(3) Beschlüsse, die die Satzung der Stiftung ändern, werden vorbehaltlich des Absatzes 4 mit einfacher Mehrheit der anwesenden oder der sich an einer schriftlichen Abstimmung beteiligenden Mitglieder des Vorstands gefaßt.

(4) Beschlüsse über Satzungsänderungen, die den Zweck der Stiftung betreffen, können nur in einer Sitzung bei Anwesenheit und mit Zustimmung sämtlicher Vorstandsmitglieder beschlossen werden.

§ 13. Zusammenschluß, Auflösung, Vermögensanfall


(1) Die Stiftung kann sich mit einer anderen Stiftung zusammenschließen.

(2) Die Stiftung kann aufgelöst werden, insbesondere wenn der Stiftungszweck auf unabsehbare Zeit nicht erfüllt werden kann.

(3) Beschlüsse über die Verwendung des Vermögens bei Auflösung der Stiftung oder über den Zusammenschluß mit einer anderen Stiftung dürfen erst nach Einwilligung des zuständigen Finanzamtes ausgeführt werden.

(4) Beschlüsse über die Auflösung der Stiftung oder ihre Zusammenlegung mit einer anderen Stiftung können nur in einer Sitzung bei Anwesenheit und mit Zustimmung sämtlicher Vorstandsmitglieder beschlossen werden.

(5) Bei Auflösung der Stiftung oder bei Wegfall steuerbegünstigter Zwecke soll das restliche Vermögen nach Abzug sämtlicher Verbindlichkeiten an das Land Berlin fallen, das es unmittelbar und ausschließlich im Sinn § 2 dieser Satzung zu gemeinnützigen Zwecken der Förderung der Wissenschaft und Forschung, Kultur und Bildung zu verwenden hat.


§ 14. Stiftungsaufsicht

(1) Die Stiftung unterliegt der staatlichen Aufsicht nach Maßgabe des jeweils geltenden Stiftungsrechts.

(2) Die Mitglieder des Vorstands sind nach § 8 StiftG Bln verpflichtet, der Aufsichtsbehörde

(2.1) unverzüglich die jeweilige Zusammensetzung des Vorstands einschließlich der Verteilung der Ämter innerhalb des Vorstands anzuzeigen, zu belegen (Wahlniederschriften, Bestellungsurkunden, Annahme- bzw. Rücktrittserklärungen oder sonstige Beweisunterlagen) und die Anschrift der Stiftung und die Wohnanschriften der Mitglieder des Vorstands mitzuteilen;

(2.2) den nach § 7 Abs. 5 beschlossenen Jahresbericht einzureichen; dies soll innerhalb von vier Monaten nach Schluß des Geschäftsjahres erfolgen; der Vorstandsbeschluß ist beizufügen.

§ 1. Name, legal form, seat

(1) The foundation shall be named APRA Foundation Berlin.

(2) It shall be a foundation under German Civil Law.

(3) It shall have its seat in Berlin.

§ 2. Objective

(1) The foundation shall pursue solely and primarily goals beneficial to society in accordance with the Steuerbegünstigte Zwecke (tax-privileged objectives) section of the Abgabenordnung (AO), i.e. German Fiscal Code.

(2) The objective of the foundation is to support Science, Research, Arts and Culture.

(3) The objectives of the foundation will be achieved in particular by

(3.1) activities that promote a fuller and clearer understanding of Adrian Piper's work and contribute over the long term to a more accurate, balanced, and complete comprehension of the conditions of production of Adrian Piper's entire body of work as a unified whole, through the demonstration and documentation of their interconnection and unity in Adrian Piper’s intellectual, cultural, social and personal environment and history.

(3.2) Granting fellowships as benefits in kind or/and benefits in cash to fellows who practice or research multi-disciplinarity, such that the full particulars governing the fellowship guidelines are determined by § 5 of this constitution.

(3.3) Organizing and holding of seminars, workshops, training courses and other conferences;

(3.4) the creation and maintenance of the domicile of the works archive and the library;

(3.5) the management and research of the works archive and family archive of the artist and philosopher Adrian Piper;

(3.6) the operation of the research library and film archive;

(3.7) the publication of texts or electronic media works by, about, or thematically related to the work in art and/or philosophy by Adrian Piper;

(3.8) the compilation and publication of a Catalogue Raisonné of the works of Adrian Piper;

(3.9) idealistic and material support for and cooperation with curators, authors and institutions who are interested in the exhibition or publication of works by Adrian Piper;

It is left to the foundation’s discretion to decide on the extent and priority of the measures to achieve the objectives (3.1) to (3.9).



§ 3. Charitable Status

(1) The activities of the foundation are charitable; its main objectives do not concern its own economic interests.

(2) The resources of the foundation may be used only for objectives that are in accordance with the charter. No person shall be paid or reimbursed for expenses that are alien to the foundation's proper objectives or receive disproportionate remuneration.

(3) No legal claim on the allocation of foundation funds exists.

§ 4. Assets, donations, employment of funds

(1) The endowment of the foundation consists of

(1.1) starting assets,

(1.2.) The ownership of property entered in the cadastral registry Berlin Mitte,

(1.3) the family archive of the benefactress,

(1.4) The library of the benefactress,

(1.5) as well as additional funds and artworks.


(2) In the interest of the perpetuity of the foundation, the face value of the foundation’s endowment must not be reduced but may be redeployed. The artworks may be sold and deployed as income of the foundation’s endowment.


(3) The endowment of the foundation may be increased by donations intended for that purpose; the foundation may accept such external donations. It may also add to its endowment donations made by testamentary deposition and not earmarked for any specific purpose, as well as available reserves ("freie Rücklagen") as defined in Section 62 (1) Nr. 3 of the Fiscal Code (Abgabenordnung). The acceptance of donations earmarked for a specific purpose does not oblige the foundation to use them for that purpose.

(4) In any given business year up to 10% of the foundation’s endowment as of the previous year may be used if this sum is urgently required to fulfill the objective of the foundation; it must be guaranteed that the sum will be repaid within the next five business years.


(5) The income from the foundation's endowment and donations not earmarked as assets shall be used for the objectives of the foundation.

(6) Reserves may be built up, provided that the foundation’s tax-privileged status is not thereby compromised. The reserve may – entirely or partially – be converted to endowment assets of the foundation.


(7) The foundation can use up to a maximum of one-third of its income to maintain the benefactress’s upkeep as appropriate, assume the costs of cremation and care of her final remains, as well as the costs of protecting and preserving her memory.

§ 5. Application and grant of multidisciplinary fellowships

(1) Multidisciplinary fellowships shall be granted by measure of the actual means of the foundation. The application period starts with a public call for applications through e-mail and on the website of the foundation ten months before the annual deadline.

(2) The application for a multidisciplinary fellowship shall be addressed to the APRA Foundation Berlin, together with the details of the proposed scholarly and/or artistic project; a current Curriculum Vitae; and letters of recommendation from two established specialists in each of the applicant’s fields of investigation.

(3) The criteria for the grant of multidisciplinary fellowships are:

(3.1) a specific target and timetable for the completion of the project;

(3.2) a realistic estimate of what portion of the project can be completed during the Fellowship year (in Berlin if possible);

(3.3) the authoritative judgments made by the applicant’s recommenders regarding the significance of the project and the applicant’s ability and potential to successfully complete it.

(3.4) The fellowship shall be used within a year after granting. There may be exceptions in severe cases that must be explained thoroughly.

(3.5) The fellow shall introduce the public to his/her work on the website of the foundation during the following year through a project documentation, consisting in either a report, article, book abstract and/or excerpt, image documentation, or time-based media documentation (video, audio, or computer animation). This project documentation will become a permanent part of the APRA Foundation Berlin Multi-Disciplinary Fellowship Archive.

(3.6) In case of default, the foundation may recall the grant.







§ 6. The Executive

(1) The foundation shall be managed by the Executive.

(2) The benefactress shall be Chair of the Executive for life. By special right she is entitled to hold the Chair of the Executive for life. During her lifetime the benefactress can increase the Executive to three or five members, or reduce it back to three members or one member. She can also remove members at her discretion. Further, she shall personally appoint her successor for the Executive. Should there exist neither additional members of the Executive nor an appointed successor to the benefactress at the time of her withdrawal from the Executive, the Executive will be determined conjointly by the Director, the Archivist and the Registrar of the APRA Foundation Berlin who are in office at that time.


(3) The Executive shall comprise one, three or five persons. The members of the Executive shall decide the number of members within the limits set by the preceding sentence. Should the occasion arise, they shall also choose additional members of the Executive. Further, the Executive can remove a member from the Executive for serious reasons with a three-fifths majority vote.

(4) The period of office for the Executive is five years. Re-election is permitted. The first sentence of Paragraph (2) remains unaffected. Upon expiration of the period of office and the benefactress’s withdrawal from the Executive, the members of the Executive shall continue in their terms of office until the successor assumes office.

(5) Members of the Executive who resign are to be replaced immediately by the Executive through election. Until the successor takes over his or her duties, the remaining members of the Executive shall carry out alone such day-to-day business of the foundation that cannot be postponed.

(6) On the foundation Executive there should sit: at least one individual that is practically experienced in yoga; one professionally knowledgeable about art; and one who teaches Anglo-American analytic philosophy at the university level. In the event that the Executive consists in only one member, this one should satisfy all three criteria.

(7) Should an appointment to the Executive of one or more representatives holding the qualifications specified in clause (6) not be possible or be ruled out, one or more other persons qualified in the areas of expertise of the foundation should be elected in their place.

(8) After the resignation of the benefactress, the Executive shall elect from among its members one Chair and one Deputy Chair. Re-election is permitted. The Executive may constitute internal rules of procedure.

(9) The members of the Executive shall work in an honorary and voluntary capacity. Necessary expenses shall be remunerated.

(10) The liability of the members of The Executive with regards to the foundation shall be limited to willful intent and gross negligence.

§ 7. Duties of the Executive

(1) The Executive is solely responsible for administering the foundation under this Charter. The members of the Executive must administer the assets of and other donations to the foundation as conscientiously and economically as possible. In doing so it must fulfill the wishes of the benefactress as effectively and as enduringly as possible.

(2) To carry out certain areas of operation, the Executive may delegate these areas to single members of the Executive. To carry out day-to-day business, a business manager and/or support staff not belonging to the Executive may be commissioned or employed and adequately reimbursed.


(3) If a manager is commissioned or employed by the foundation, he or she shall conduct the day-to-day business in accordance with the guidelines set forth in the rules of procedure. He or she is answerable to the Executive and bound by their instructions.

(4) At the beginning of each financial year the Executive shall produce a budget with the expected statements of income and expenditures.

(5) Within four months after the end of each financial year the Executive will produce annual financial accounts. For this purpose, statements of income and expenditures of the foundation and of its assets as well as a report on the fulfillment of the foundation's goals shall be produced, examined and approved as the annual report of the foundation.

§ 8. Financial year

(1) The financial year is the calendar year.

§ 9. Representation

(1) The members of the Executive constitute the Executive of the foundation according to §§ 86, 26 of German Civil Code (Bürgerlichen Gesetzbuches).

(2) So long as the benefactress is the Chair of the Executive, she possesses the power of sole representation. She is exempt from the restrictions pursuant to § 181 of the BGB (German Civil Code).

(3) In the event that the Executive consists of more than one member, the Executive may act from a quorum of at least two of its members, of which one must be either the Chair or the Deputy Chair, unless sole representation was expressly admitted by unanimous decision of the Executive.


§ 10. Passing of resolutions

(1) In the event that the Executive consists of more than one member, the Executive shall pass a resolution if at least three of its members are present at the meeting, so long as these members include the Chair.

(2) The executive may also adopt its resolutions by way of written ballots provided that all members of the Executive have given their consent.

(3) Resolutions will be passed by a simple majority of the members present or by ballot of participating members, so long as the Charter does not stipulate otherwise. In the case of a tie vote, the Chair shall cast the deciding vote. Abstentions shall not be counted.


(4) A transcript of the Executive meetings is to be prepared and signed by at least two members of the Executive, provided that the Executive consists of more than one person. Absent members of the Executive shall be informed of the resolutions but have no right of objection.


§ 11. Meetings of the Executive

(1) The Executive convenes as often as necessary, or if one of its members applies for a meeting in written form by stating the reason for the meeting.


(2) The Chair shall invite all members of the Executive to a meeting, in writing and giving notice of the exact date, or shall request their ballot or notification of their vote in written form.

(3) Within each financial year, there shall take place at least two meetings of the Executive: one for a resolution about the budget, one for a resolution about the annual report.

§ 12. Amendments to the statutes

(1) Resolutions that amend the statutes of the foundation shall be admissible if the Executive considers them to be necessary in the interest of the Foundation.

(2) An amendment of the resolution is in particular admissible if

(2.1) the Charter relating to the objective of the foundation is not or not substantially amended, or

(2.2) necessary to secure the enduring fulfillment of the Foundation’s objective, or

(2.3) necessary to cope with a substantial change of circumstances compared to those at the time the foundation was recognized.

(3) Resolutions that amend the statutes of the foundation shall be approved subject to paragraph 4 by a simple majority of those present or by written ballot by participating members of the Executive.

(4) Resolutions on amendments to the Charter relating to the objective of the foundation can only be approved unanimously at a meeting in the presence of all executive members.

§ 13. Amalgamation with another foundation, Dissolution of the foundation, Estate

(1) The foundation may merge with another foundation.

(2) The foundation may be dissolved, in particular if the foundation’s objectives cannot be fulfilled for an indefinite period of time.

(3) Resolutions on the use of the foundation’s capital assets in case of dissolution or resolutions on its merging with another foundation shall not be executed until the tax authority’s acceptance is given.

(4) Resolutions on the dissolution of the foundation or on the amalgamation with another foundation can only be approved unanimously at a meeting in the presence of all executive members.

(5) Should the foundation be dissolved or in case of shortfall of tax-privileged objectives, the assets are to be transferred to the city-state of Berlin with the stipulation that they be used exclusively and directly for the objectives of the foundation in accordance with § 2 of this Charter or in a manner coming as close as possible to the tax-privilege purposes.


§ 14. State oversight

(1) The foundation shall be overseen by the Staatsaufsicht Berlins, in accordance with the provisions of the Foundations Act of Land Berlin.

(2) The members of the Executive are obliged in accordance with § 8 of the Foundations Act to do the following for the regulatory authority:

(2.1) immediately advise of the current composition of the Executive, including the distribution of offices within the Executive; make available voting transcripts, certificates of appointment, adoption and/or cancellation or other documentary evidence; and inform the regulators of the address of the foundation and the home addresses of the members of the Executive;

(2.2) submit the annual report adopted pursuant to § 7 paragraph 5, which should take place within four months after the close of the financial year, accompanied by the Executive's resolution.
